Institutional B2B Contract Reference

This document serves as the standardized Master Service Agreement (“MSA”) and Data Processing Terms for school management boards, college directors, and multi-campus educational trusts subscribing to the SchoolEasy platform.

1. Scope & Purpose of Processing

SchoolEasy agrees to provide cloud-hosted educational administration software to the subscribing Institution. In delivering the services, SchoolEasy shall process Institutional Data solely on documented instructions from the Institution and in strict accordance with this Agreement.

2. Service Levels & Platform Availability

99.9% Core Service Availability Target

We target 99.9% uptime for core educator, student, and administrative portals, excluding planned maintenance windows scheduled during off-peak weekend hours.

Dedicated Technical Support SLA

Critical system issues impacting examinations or admissions are acknowledged within 4 business hours by our dedicated campus solutions engineering team.

3. Institutional Data Processing Commitments

In its capacity as Technical Service Provider and Data Processor, SchoolEasy covenants that:

  • Confidentiality: All personnel with authorized access to customer infrastructure are subject to binding non-disclosure agreements.
  • Institutional Ownership: All student records, examination grades, syllabus materials, and fee records remain the exclusive property of the Institution.
  • Private Cloud Infrastructure: Student documents, notices, and leave medical records are stored in private cloud storage (Backblaze B2) protected by backend authentication.
  • No Sub-Licensing or Selling: SchoolEasy shall never sell, rent, license, or commercially exploit customer datasets or student information.
  • Administrative Custody: The Institution’s administrative staff maintain operational control over initial credential distribution and account resets for students and staff.

4. Technical & Organizational Security Measures

SchoolEasy implements industry-standard technical measures to prevent unauthorized data access, destruction, or disclosure:

Transport Layer Security (TLS 1.2+)
Strict Tenant Query Isolation (`organizationId`)
Private Object Storage with Authenticated Proxy
Role-Based Privilege Enforcement

5. Data Portability & Contractual Termination

5.1 Data Retrieval Right: The Institution is entitled to export its complete datasets (student rosters, attendance logs, marks sheets, fee transactions) at any point during active subscription via built-in export utilities.

5.2 Graceful Decommissioning: Upon expiration or non-renewal of institutional service, SchoolEasy provides a mandatory thirty (30) day data handover window. Following this period, all active production datastores allocated to the tenant are securely decommissioned.

6. Governing Law & Jurisdiction

This Master Service Agreement shall be governed by and interpreted in accordance with the applicable commercial laws of the jurisdiction where SchoolEasy maintains its registered corporate establishment, with any legal disputes adjudicated before the competent courts having jurisdiction.
